1. INTRODUCTION
Welcome to Thirandal Midukku Ltd ("Thirandal Midukku", "Platform", "we", "our", or "us"), an online marketplace dedicated to supporting Tamil women entrepreneurs by providing access to international markets through fair and sustainable trade.
These Terms and Conditions govern your access to and use of the Platform, including any purchases made through our website.
By accessing, browsing, registering an account, or purchasing products through the Platform, you agree to be bound by these Terms and Conditions. Where you purchase a product, additional terms may apply to the relevant order, product, vendor, or policy referred to in these Terms.
If you do not agree to these Terms, you must not use the Platform.
Nothing in these Terms limits or excludes any consumer rights or other legal rights that cannot lawfully be limited or excluded.
2. ABOUT US
Thirandal Midukku Ltd is a UK-based online marketplace and social enterprise dedicated to supporting Tamil women entrepreneurs, particularly those located in Sri Lanka's Northern, Eastern, and Up-Country regions.
Our mission is to connect women-led businesses with international customers, helping to generate sustainable incomes, promote economic independence, and strengthen communities through fair and ethical trade.

3. ELIGIBILITY
You must be at least 18 years of age to use the Platform or purchase products.
By using the Platform, you confirm that:
- a) You have the legal capacity to enter into binding contracts;
- b) All information provided by you is accurate and complete;
- c) You will comply with all applicable laws and regulations; and
- d) You will use the Platform only for lawful purposes.
4. MARKETPLACE ROLE
Thirandal Midukku operates as an online marketplace that facilitates transactions between independent vendors and customers.
Unless expressly stated otherwise:
- a) Products listed on the Platform are offered for sale by independent vendors identified on the relevant product listing or order information;
- b) The relevant vendor is responsible for the product, including its quality, safety, legality, descriptions, pricing, availability, fulfilment, and compliance with applicable laws;
- c) Unless expressly stated otherwise, the sales contract for a product is formed between the customer and the relevant vendor;
- d) Thirandal Midukku is not the manufacturer of products listed on the Platform unless expressly stated otherwise;
- e) Thirandal Midukku may provide customer support, facilitate communications, process payments, assist with delivery arrangements, and assist with dispute resolution, but this does not make Thirandal Midukku the seller of a product unless expressly stated otherwise;
- f) Thirandal Midukku may carry out checks on vendors, listings, products, or transactions where appropriate, but does not guarantee that every product has been individually inspected or independently verified before dispatch; and
- g) Nothing in this Clause limits or excludes any legal obligation or liability that applies to Thirandal Midukku itself under applicable law.
5. PRODUCTS
We aim to ensure that product information displayed on the Platform is accurate.
However:
- a) Product descriptions, images, specifications, and pricing may be provided by vendors;
- b) Product colours and appearance may vary depending on display settings and, where applicable, the handmade nature of certain products;
- c) Availability of products cannot be guaranteed until an order has been accepted; and
- d) Where appropriate, product listings will identify the relevant vendor.
Vendors remain responsible for ensuring that products are safe, lawful, accurately described, of satisfactory quality where required by law, and compliant with applicable legal requirements.
Nothing in these Terms limits or excludes any statutory consumer rights available under applicable law or any legal obligation applicable to Thirandal Midukku.
6. PRICING
All prices displayed on the Platform are in Sri Lankan Rupees (LKR) unless expressly stated otherwise.
Customers purchasing from outside Sri Lanka acknowledge that:
- a) Currency conversion rates may vary;
- b) Banks and payment providers may charge conversion fees;
- c) International transaction fees may apply; and
- d) Such charges are the responsibility of the customer where applicable.
Any applicable VAT, sales tax, or other taxes will be displayed or explained as required by applicable law before the customer completes the purchase.
Customers may also be responsible for customs duties, import taxes, VAT, GST, or similar charges imposed by the destination country's authorities where these charges are not included in the price or delivery charges displayed at checkout.
Where we are required by law to include a tax or other mandatory charge in the displayed price, that charge will be included accordingly.
7. ORDERS
All orders are subject to product availability and acceptance by the relevant vendor.
When you place an order through the Platform, you are making an offer to purchase the relevant product from the vendor identified in the order.
After an order is submitted, you may receive an automated order acknowledgement confirming that we have received your order. This acknowledgement does not necessarily mean that the order has been accepted.
A binding sales contract is formed when the relevant vendor accepts the order, either by sending an order acceptance confirmation or, where permitted, by dispatching the goods.
The terms applicable to the relevant order will include these Terms, the applicable product information, the order details, and any policies expressly incorporated into the contract.
We reserve the right, where permitted by law, to:
- a) Refuse or cancel an order before the relevant contract is formed;
- b) Limit quantities purchased;
- c) Request additional verification information; and
- d) Suspend or reject transactions that appear fraudulent, unlawful, or suspicious.
Customers will receive confirmation of accepted orders by email.
Where an order has already been accepted, cancellation or termination of that order will be handled in accordance with the applicable consumer rights, the relevant vendor's obligations, and our Returns and Refunds Policy.
8. PAYMENTS
Payments must be made using payment methods approved by the Platform.
By placing an order, you confirm that:
- a) You are authorised to use the chosen payment method;
- b) Payment information provided is accurate; and
- c) You have sufficient funds or available credit to complete the transaction.
We reserve the right to suspend or cancel an order where payment cannot be successfully processed, subject to applicable law.
Where the Platform processes payments on behalf of vendors, Thirandal Midukku may collect payment as an agent or payment intermediary for the relevant vendor, depending on the payment arrangement applicable to the transaction.
The processing of payment does not, by itself, determine whether Thirandal Midukku or the vendor is the seller of the product. The identity of the seller will be determined in accordance with these Terms and the information provided at the time of purchase.
9. SHIPPING AND DELIVERY
Delivery times and estimated delivery dates will be communicated to customers where applicable.
Any stated delivery period is an estimate unless a specific delivery date or period has been expressly agreed.
Nothing in these Terms excludes or limits any statutory rights relating to delivery.
Customers are responsible for:
- a) Paying any applicable delivery charges;
- b) Providing accurate delivery information;
- c) Paying customs duties, import taxes, VAT, GST, or similar charges where these are lawfully payable by the customer and have not already been included in the price or delivery charges; and
- d) Ensuring compliance with applicable local import requirements where the customer is responsible for doing so.
Thirandal Midukku shall not be responsible for delays caused by circumstances outside our reasonable control, including, where applicable:
- a) Customs authorities;
- b) Postal services or courier companies;
- c) Severe weather conditions;
- d) Force majeure events; or
- e) Other circumstances outside our reasonable control.
Where the relevant sales contract is with a vendor, responsibility for fulfilment and delivery rests with that vendor except to the extent that Thirandal Midukku has separately undertaken responsibility for delivery.
For UK consumers, risk in goods will generally pass when the consumer, or a person nominated by the consumer other than the carrier, takes physical possession of the goods, except where applicable law provides otherwise.
10. RETURNS, CANCELLATIONS AND REFUNDS
Customers may have statutory rights to cancel an order, return goods, obtain a repair or replacement, or receive a refund depending on the circumstances and the applicable law.
Certain products may be excluded from statutory cancellation rights where permitted by law, including, for example:
- a) Goods made to the customer's specifications or clearly personalised;
- b) Certain perishable goods;
- c) Certain sealed goods that are not suitable for return for health protection or hygiene reasons where the seal has been broken; and
- d) Other goods or services for which a statutory cancellation exception applies.
Customers wishing to exercise a cancellation right should follow the cancellation procedure set out in the Platform's Returns and Refunds Policy or contact us using the details provided in Clause 23.
Where a customer has a statutory right to cancel, the relevant refund, return postage, delivery charge, and any permitted deduction will be handled in accordance with applicable law.
The Returns and Refunds Policy forms part of these Terms where expressly incorporated into the relevant transaction.
11. CUSTOMER ACCOUNTS
Where customers create an account, they are responsible for:
- a) Maintaining the confidentiality of login credentials;
- b) Restricting unauthorised access to their account; and
- c) Ensuring account information remains accurate and current.
Customers should notify us promptly if they believe their account has been accessed without authorisation.
Customers may be responsible for activities conducted through their account where those activities result from their failure to keep their account credentials secure, except where applicable law provides otherwise.
12. INTELLECTUAL PROPERTY
All Platform content, including but not limited to:
- a) Logos;
- b) Branding;
- c) Text;
- d) Graphics;
- e) Website design;
- f) Software; and
- g) Databases,
is owned by or licensed to Thirandal Midukku and is protected by intellectual property laws.
You may not reproduce, distribute, modify, copy, or commercially exploit Platform content without prior written permission, except where such use is permitted by applicable law.
Nothing in these Terms affects any intellectual property rights belonging to vendors or other third parties.
13. VENDOR RESPONSIBILITIES
Vendors are responsible for ensuring that:
- a) Products are lawful;
- b) Products are safe for consumer use;
- c) Product information is accurate and not misleading;
- d) Products comply with applicable laws and regulations;
- e) Products do not infringe any intellectual property rights;
- f) Required warnings, instructions, labelling, and safety information are provided where applicable; and
- g) They comply with applicable product-safety, consumer-protection, tax, customs, export, and import requirements relevant to the products they sell.
Thirandal Midukku may request information or documentation from vendors to verify compliance and may suspend or remove listings where there are reasonable concerns about legality, safety, accuracy, or compliance.
14. PROHIBITED ACTIVITIES
Users must not:
- a) Use the Platform for unlawful purposes;
- b) Submit false or misleading information;
- c) Commit fraud or attempted fraud;
- d) Interfere with Platform security;
- e) Upload harmful software or malicious code;
- f) Infringe intellectual property rights; or
- g) Harass, abuse, or threaten vendors, customers, or Platform representatives.
15. SUSPENSION AND TERMINATION
We may suspend or terminate access to the Platform where a user:
- a) Breaches these Terms;
- b) Engages in fraudulent or unlawful activity;
- c) Misuses the Platform;
- d) Creates a security or legal risk; or
- e) Causes serious harm to the Platform, vendors, customers, or our reputation.
Where reasonably practicable, we may provide notice and an opportunity to remedy a breach before suspension or termination, except where immediate action is reasonably necessary.
Termination does not affect rights or obligations that have already accrued.
Termination or suspension of an account will not, by itself, remove any statutory consumer rights or obligations relating to orders already accepted.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Thirandal Midukku shall not be liable for losses that are not reasonably foreseeable or that arise indirectly, including loss of profits, business opportunities, goodwill, or revenue, except where such liability cannot lawfully be excluded or limited.
Subject to applicable law, Thirandal Midukku shall not be responsible for:
- a) Delays caused by circumstances outside our reasonable control;
- b) Acts or omissions of independent vendors where Thirandal Midukku is not legally responsible for those acts or omissions;
- c) Failures caused by third-party payment providers where the failure is outside our reasonable control; or
- d) Customs delays or import restrictions outside our reasonable control.
Nothing in these Terms excludes or limits liability for:
- a) Fraud or fraudulent misrepresentation;
- b) Death or personal injury caused by negligence;
- c) Liability that cannot lawfully be excluded or limited; or
- d) Any statutory consumer rights or remedies that cannot lawfully be excluded or limited.
17. FORCE MAJEURE
Thirandal Midukku shall not be liable for any failure or delay in performing obligations caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, internet outages, labour disputes, pandemics, or transportation disruptions.
Where such an event occurs, we will take reasonable steps to minimise its impact where practicable.
Nothing in this Clause excludes or limits any statutory consumer rights or other legal rights that cannot lawfully be excluded or limited.
18. PRIVACY
Your use of the Platform is subject to our Privacy Policy.
Thirandal Midukku processes personal data in accordance with applicable data-protection law and the purposes and legal bases described in our Privacy Policy.
Where consent is required by law for a particular type of processing, we will obtain consent in accordance with applicable legal requirements.
19. CHANGES TO THESE TERMS
We may amend these Terms from time to time.
Updated versions will be published on the Platform and will normally apply to future use of the Platform and orders placed after the updated Terms take effect.
Continued use of the Platform after updated Terms take effect may constitute acceptance of the updated Terms in relation to future use of the Platform.
20. GOVERNING LAW
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales, except where mandatory provisions of another jurisdiction's law apply.
21. JURISDICTION
Subject to any mandatory rights available to consumers under applicable law, the courts of England and Wales shall have jurisdiction to hear disputes arising from or connected with these Terms.
22. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Returns and Refunds Policy and any other policies expressly incorporated by reference, constitute the agreement between the parties regarding use of the Platform and, where applicable, the relevant purchase.
Nothing in this Clause excludes or limits any statutory consumer rights or remedies.
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be enforced to the fullest extent permitted by law and, where necessary, treated as severed from these Terms without affecting the validity of the remaining provisions.
Any failure by Thirandal Midukku to enforce a provision of these Terms shall not constitute a waiver of that provision.
